Terms of Service

The agreement

These Terms of Service are an agreement between you and ijuo LLC, a Nevada limited liability company ("ijuo," "we," "us"). They govern your use of the ijuo platform at ijuo.com, app.ijuo.com, and any related services.

By creating an account or using the platform, you agree to these terms. If you're agreeing on behalf of a business, you confirm you have authority to bind that business, and "you" means the business.

If you don't agree to these terms, don't use the platform.

What ijuo is

ijuo is software for running a field service business. It helps you build and send quotes, get them signed, schedule work, keep records of your customers and job sites, invoice, and collect payment.

ijuo is a tool. We are not a party to the agreements you make with your customers, we don't perform any of the work you sell, and we don't supervise, inspect, warrant, or take responsibility for it. We're not a payment processor, a bank, a money transmitter, an insurer, a lender, or a licensed professional of any kind.

Your account

You must be at least 18 and able to enter a binding contract. You must give us accurate account information and keep it current.

You're responsible for everything that happens under your account, including anything done by employees, crew members, or contractors you give access to. Keep your credentials secure and tell us promptly at hello@ijuo.com if you believe your account has been compromised.

You may not share a single account across separate businesses. Each business needs its own.

Your customers are yours

The customer records, site details, pricing, photos, notes, and history you put into ijuo belong to you. We don't sell your customer list, we don't market to your customers, and we don't use your business data to compete with you.

Your relationship with your customers is between you and them. That includes what you charge, what you promise, when you show up, the quality of the work, warranties, disputes, refunds, and every legal obligation you owe them. If a customer has a complaint about the work, it's yours to resolve.

Payments and Stripe

Payments through ijuo are processed by Stripe, Inc. To accept payments you connect your own Stripe account. It stays yours: your legal entity, your bank account, your dashboard, your payout schedule.

We never take custody of your money. Your customers pay you directly through your Stripe account. Funds do not pass through ijuo's accounts, and we don't hold, transmit, or control them. Your business name appears on your customer's card statement and receipt.

Your use of Stripe is governed by your agreement with Stripe, not by these terms. You're responsible for meeting Stripe's requirements, including identity verification and any information Stripe asks you for.

As the merchant of record on your transactions, you're responsible for refunds, chargebacks, disputes, and any negative balance on your Stripe account. We can help you issue refunds from inside ijuo, but the money and the liability are yours.

Card details are entered directly into Stripe's payment form. ijuo does not receive, store, or process raw card numbers.

Our fees

We charge for the platform in two ways, and both are shown to you in your account settings before they apply.

The platform fee is separate from Stripe's own processing fees, which Stripe charges you directly. Both appear itemized in your Stripe dashboard.

We may change our fees. We'll give you at least 30 days' notice before a change takes effect, and the change won't apply to transactions already processed. If you don't accept a change, you can cancel before it takes effect.

Fees are exclusive of taxes. You're responsible for any taxes on your own sales.

Your responsibilities

You're responsible for running your business lawfully. That includes, without limitation:

We don't review your quotes, contracts, prices, or disclosures for legal compliance, and nothing in the platform should be treated as legal, tax, accounting, or insurance advice.

Your data

You keep all rights in the data you put into ijuo. You grant us a limited license to host, process, transmit, back up, and display it — only as needed to operate the platform for you, support you, keep it secure, and comply with law.

We may use aggregated, de-identified information that doesn't identify you or your customers to improve the platform. We won't publish or share anything that identifies your business or your customers.

You can export your data while your account is active. See our Privacy Policy for how we handle personal information, including information about your customers.

Acceptable use

Don't use ijuo to:

We may suspend an account immediately if we believe it's being used this way, or if continued use puts other users, us, or a payment provider at risk.

Availability and changes

We work to keep the platform available, but we don't promise uninterrupted service. We may need to take it down for maintenance, and third parties we depend on may have outages of their own.

We may add, change, or remove features. If we remove something you rely on in a way that materially reduces the service, we'll give you reasonable notice where we can.

We may update these terms. If a change is material, we'll notify you at least 30 days before it takes effect. Continuing to use the platform after that means you accept the updated terms.

Ending the agreement

You can cancel your account at any time from your account settings. Cancellation takes effect at the end of your current billing period, and fees already paid aren't refunded except where required by law.

We may terminate or suspend your account if you materially breach these terms and don't fix it within 15 days of notice, if you fail to pay, or immediately in the circumstances described in section 9.

After termination we'll keep your data available for export for 30 days, then delete it on the schedule described in our Privacy Policy. Export your data before you cancel if you need it.

Disclaimers

The platform is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.

We don't warrant that the platform will be error-free, that it will meet your requirements, that calculations or records it produces are accurate for your purposes, or that documents generated through it are legally sufficient in your jurisdiction. You're responsible for reviewing your own quotes, contracts, invoices, and records before you rely on them.

Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, or lost data, even if advised such damages were possible.

Our total liability arising out of or relating to these terms or the platform is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) one hundred dollars ($100).

These limits don't apply to your payment obligations, your indemnification obligations, or to liability that can't be limited under applicable law.

Indemnification

You'll defend, indemnify, and hold us harmless from claims, damages, losses, and reasonable legal fees arising out of your use of the platform, the work you perform for your customers, your pricing and disclosures, your data, your breach of these terms, or your violation of any law or third-party right.

Governing law and disputes

These terms are governed by the laws of the State of Nevada, without regard to its conflict of laws rules.

Any dispute arising out of or relating to these terms or the platform will be brought exclusively in the state or federal courts located in Washoe County, Nevada, and both parties consent to the jurisdiction of those courts.

General

These terms, together with the Privacy Policy and any plan or order you accept, are the entire agreement between us on this subject and replace any earlier understanding.

If any provision is found unenforceable, the rest stays in effect. Our failure to enforce a provision isn't a waiver of it.

You may not assign this agreement without our written consent. We may assign it in connection with a merger, acquisition, or sale of assets.

Nothing here creates a partnership, joint venture, employment, or agency relationship between us.
